Firm shareholder Randal Brotherhood recently presented at the National Business Institute’s CLE entitled “Nonprofit Strategic Mergers and Alliances,” which was webcast to attorneys nationwide on October 2, 2014. Mr. Brotherhood’s first presentation, entitled “Initial Considerations for Nonprofit Organizations Contemplating a Merger, Joint Venture or Strategic Alliance,” concentrated on various alternative forms of merger, joint venture and alliance between and among nonprofit organizations (including transactions with for-profit entities) and key tax considerations in connection with same.  Mr. Brotherhood’s second presentation, entitled “Key Issues for Nonprofit Organizations in Evaluating and Negotiating a Merger, Joint Venture or Strategic Alliance,” focused on issues and strategies involved in identifying and negotiating collaborative transactions between nonprofit organizations. Mr. Brotherhood’s presentation also included a detailed discussion of issues and strategies involved in negotiating and drafting definitive joint venture agreements between nonprofit organizations.
