Typical business projects include mergers and other tax-free reorganizations, contract negotiation, business sales and acquisitions, physician group representation, noncompete and other employee arrangements, licensing disputes and agreements, redemptions, private offerings, corporate buy/sell and other shareholder agreements, commercial real estate and other loans (representing both borrowers and lending institutions), and dealership agreements.

Recent representative litigation has involved securities law claims and enforcement, CERCLA litigation and environmental insurance coverage disputes, noncompete and unfair trade practice disputes, hospital contract exclusivity and privilege disputes, commercial real estate foreclosures, zoning and other land-use regulatory matters, lender liability, ERISA disputes, and toxic torts.

The firm's estate planning practice involves planning for both closely-held businesses and private estates, including qualified plans, marital property agreements, qualified subchapter S trusts, marital and family trust arrangements, private foundations and other charitable organizations, planned giving, generation skipping transfers, and private trust and power of attorney arrangements.
